CONFIDENTIAL FOUNDATIONAL DRAFT — ATTORNEY REVIEW REQUIRED

1. About KIN

KIN is a technology platform designed to help pet parents make more informed decisions about pet products and pet care. Its initial experience centers on scanning pet food and other pet products to provide understandable information, comparisons, and personalized insights. KIN does not replace veterinarians or other qualified professionals.

2. Acceptance

By accessing, creating an account, scanning a product, purchasing a subscription, or otherwise using KIN, you agree to these Terms, the KIN Privacy Policy, applicable purchase terms, and applicable law. If you use KIN for an organization, you represent authority to bind it.

3. Definitions

“KIN” means [KIN LEGAL ENTITY NAME]. “Services” means KIN applications, websites, software, databases, scanning, PawScore™, AI functionality, content, recommendations, subscriptions, and related services. “PawScore™” means KIN’s proprietary product-comparison methodology and outputs. “Pet Profile” means information about a pet. “User Content” means material submitted by a user. “AI Services” means KIN features using artificial intelligence or machine learning.

4. Eligibility

You must be legally capable of entering a binding agreement under applicable law. KIN is not directed to children. Additional age or geographic restrictions may apply.

5. Accounts

Provide accurate information and protect your credentials. Notify KIN of suspected compromise. You are responsible for activity under your account except where caused by KIN’s breach of law.

6. Pet Profiles

You are responsible for the accuracy of pet information such as species, breed, age, weight, dietary information, sensitivities, and preferences. Recommendations may be affected by inaccurate or outdated information.

7. Services

KIN may provide barcode scanning, ingredient and nutrition analysis, PawScore™, product comparisons, personalized recommendations, AI explanations, recall information, educational content, pet-profile tools, and future functionality. KIN may modify or discontinue features subject to applicable law.

8. Barcode Scanning

Scanning is intended to make product information easier to access. A scan does not guarantee completeness, current formulation, authenticity, suitability, safety, or availability. Verify important information against packaging and manufacturer information.

9. PawScore™

PawScore™ is a proprietary comparison methodology. It is informational and is not a veterinary diagnosis, treatment recommendation, guarantee of safety, guarantee of nutritional adequacy, or prediction of health outcomes. Scores may change as products, data, science, regulations, or methodology change.

10. PawScore™ Independence

KIN’s trust principle is that commercial relationships should not secretly determine scores. If KIN introduces advertising, sponsored content, affiliate relationships, or paid placement, it intends to distinguish commercial relationships from independent scoring through appropriate disclosures.

11. Artificial Intelligence

AI outputs may be incomplete, inaccurate, outdated, or inconsistent. Do not rely on AI as the sole basis for significant health, nutrition, medication, treatment, or emergency decisions.

12. Responsible AI

KIN intends to develop AI according to transparency, safety, privacy, human responsibility, and continuous-improvement principles. AI assists people; it does not replace veterinary professionals.

13. Veterinary Disclaimer

KIN is not a veterinary practice, veterinarian, animal hospital, emergency service, pharmacy, or medical provider. It does not provide veterinary diagnosis, treatment, prescriptions, emergency services, or individualized medical diagnosis. Consult a qualified veterinarian for individual pet needs.

14. Emergencies

KIN is not an emergency service. For potentially serious or life-threatening conditions, contact an appropriate veterinary professional or emergency animal hospital immediately. Do not delay professional care because you are using KIN.

15. Product Information

KIN may receive information from manufacturers, retailers, distributors, public databases, data providers, users, or other sources. KIN seeks to provide useful information but does not guarantee every record, ingredient list, nutritional value, image, price, availability status, or claim is complete, current, or error-free.

16. Product Formulations and Recalls

Products may be reformulated. Check current packaging. KIN may provide recall information but cannot guarantee immediate identification of every recall. Consult manufacturers, retailers, and relevant authorities.

17. Acceptable Use

You must not use KIN unlawfully; provide knowingly false information; impersonate others; interfere with operation; introduce malware; attempt unauthorized access; scrape or systematically extract data without authorization; reverse engineer protected portions; bypass controls; create a competing database using protected KIN materials; or infringe rights.

18. User Content

You retain ownership of content you lawfully own. By submitting User Content, you grant KIN a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, display, and use it as reasonably necessary to operate, secure, and improve the Services. You represent that you have necessary rights.

19. Reviews

Reviews should represent genuine experiences. No fake reviews, rating manipulation, undisclosed compensated reviews, impersonation, or coordinated fraud. KIN may remove violating content.

20. Feedback

KIN may use ideas, suggestions, and feedback without compensation or obligation, subject to applicable law.

21. Intellectual Property

KIN owns or licenses its software, algorithms, databases, interfaces, designs, methodologies, trademarks, logos, text, graphics, and other materials. No ownership rights are transferred except the limited right to use the Services.

22. Trademarks

KIN, PawScore™, slogans, logos, and related branding are or may become trademarks. Do not use KIN marks to imply endorsement, create confusion, damage the brand, or falsely suggest partnership.

23. Third Parties

KIN may integrate with payment processors, app stores, retailers, manufacturers, AI providers, analytics providers, veterinary resources, and other third parties. Third-party services are governed by their own terms.

24. Advertising and Affiliates

KIN may eventually display advertising or participate in affiliate programs. KIN intends to provide appropriate disclosures and distinguish commercial content from independent scoring and educational content.

25. Subscriptions

KIN may offer free and paid functionality. Premium features may include advanced personalization, additional scans, enhanced AI, history, comparisons, alerts, or other functionality. Features may change.

26. Renewal, Trials, Cancellation

Subscriptions may automatically renew unless cancelled. Free trials may convert to paid subscriptions according to the disclosed offer. App-store subscriptions may need to be cancelled through the applicable store. Deleting the app does not necessarily cancel a subscription.

27. Payments, Refunds, Taxes, Price Changes

Refunds are governed by applicable law, purchase channel, KIN policy, and purchase terms. Prices may change with appropriate notice where required. Applicable taxes may be added.

28. Privacy

KIN’s collection, use, disclosure, retention, and protection of personal information is governed by the KIN Privacy Policy. Nothing in these Terms reduces non-waivable privacy rights.

29. Data Improvement

Subject to applicable law and the Privacy Policy, KIN may use aggregated, de-identified, or otherwise appropriately protected information to improve services, databases, scoring, AI, analytics, security, and abuse prevention.

30. Security

KIN intends to maintain reasonable safeguards, but no connected system can be guaranteed completely secure. Report vulnerabilities to [SECURITY EMAIL].

31. Availability and Beta Features

KIN does not guarantee uninterrupted operation. Maintenance, outages, bugs, third-party failures, cybersecurity incidents, and other events may affect availability. Beta features may change or be discontinued and should not be relied upon for critical decisions.

32. Warranty Disclaimer

To the maximum extent permitted by law, Services are provided “as is” and “as available.” KIN disclaims warranties not required to be disclaimed by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Non-waivable consumer rights remain unaffected.

33. Limitation of Liability

To the maximum extent permitted by law, KIN will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages. Aggregate liability will be limited to the greater of amounts paid to KIN during the preceding twelve months or US $100, except where prohibited by law.

34. Indemnification

To the extent permitted by law, you agree to defend and indemnify KIN and its officers, directors, employees, contractors, affiliates, and agents from claims arising from unlawful use, breach of these Terms, User Content, or infringement of another person’s rights.

35. Suspension and Termination

KIN may suspend or terminate access when reasonably necessary to protect users, Services, KIN, or third parties, including for material violations, fraud, or security threats. Users may stop using KIN at any time. Provisions intended to survive termination will survive.

36. Dispute Resolution

Users should first contact KIN to attempt good-faith resolution. Contact [LEGAL EMAIL] with your name, account information, dispute description, relevant documents, and desired resolution.

37. Arbitration and Class Actions — Attorney Review Required

KIN may adopt arbitration and/or class-action waiver provisions depending on launch jurisdictions. Final provisions should be drafted and reviewed by qualified counsel. Nothing should prevent users from exercising non-waivable statutory rights.

38. Governing Law

The governing law and venue will be finalized after KIN’s legal entity, principal place of business, and launch jurisdictions are established and must remain subject to mandatory consumer-protection law.

39. Changes

KIN may update these Terms. Material changes will be communicated through reasonable means where required. Revised Terms will state an effective date.

40. General Provisions

If a provision is unenforceable, the remainder remains effective. Failure to enforce is not a waiver. These Terms and incorporated policies constitute the agreement governing use of the Services, subject to mandatory legal rights.

41. Accessibility

KIN intends to make its Services accessible to people with disabilities. Accessibility concerns may be sent to [ACCESSIBILITY EMAIL].

42. Export Controls

You may not use KIN in violation of applicable export-control, sanctions, or trade laws.

43. Force Majeure

KIN is not responsible for delays or failures caused by events beyond reasonable control, to the extent permitted by law.
